TERMS OF SERVICE

1. Acceptance of Terms

By booking with LR2 PHOTO STUDIO through the LR2 PHOTO STUDIO booking platform, you, the "Client," agree to abide by the terms outlined below. These terms ensure a smooth experience for all parties and protect the integrity and operations of the studio.

The Client also acknowledges and agrees that the following terms and conditions apply not only to the individual who booked the space but also to all guests, participants, vendors, crew members, and anyone else present during the booking. The Client is responsible for ensuring that all parties comply with these terms. Failure to adhere to these terms may result in the cancellation of the booking and forfeiture of any fees paid.

For purposes of studio use, the Client is considered the responsible production lead and agrees to supervise all guests, crew members, vendors, and participants during the reservation.

For clarity, the terms "booking" and "reservation" refer to the scheduled studio rental created through the LR2 PHOTO STUDIO booking platform.

These Terms of Service apply exclusively to bookings made directly through the LR2 PHOTO STUDIO booking platform. Bookings made through third party marketplaces are subject to the policies and dispute procedures of the applicable platform in addition to applicable studio rules.

2. Booking Process and Payment

2.1 Booking

To confirm and secure a reservation, all rental fees, along with any refundable cleaning or damage deposits, must be paid in full at the time of booking. A reservation is confirmed only after payment is completed in full. If checkout is not completed, any studio time held during checkout is released automatically after a short hold period and returned to availability. Should the Client require additional equipment rental, added services, or an extension of time on the day of the booking, the Client must request approval from LR2 PHOTO STUDIO and pay any required fees through the booking platform, invoice, payment link, or another LR2 approved payment method. Same day extensions, equipment, and added services are subject to availability and studio approval.

For purposes of these Terms, "Add ons" refers to any optional items, services, equipment, or upgrades selected by the Client during checkout or added to the reservation.

2.2 Accepted Payment Methods

We accept credit/debit cards and other payment methods outlined during the booking process.

2.3 Booking Accuracy

The Client is responsible for providing accurate information when booking through the LR2 PHOTO STUDIO booking platform. LR2 PHOTO STUDIO is not responsible for any inaccuracies in the Client's input regarding scheduling times, dates, room selection, guest count, contact information, add ons, or other booking details. If a mistake is discovered, the Client must contact LR2 PHOTO STUDIO immediately to attempt correction. However, LR2 PHOTO STUDIO cannot guarantee that accommodations can be made to resolve such errors.

2.4 Manual Bookings, Invoices, and Approved Payment Arrangements

If LR2 PHOTO STUDIO approves a manual booking, invoice, deposit arrangement, balance payment, or other payment schedule, any unpaid balance must be paid by the deadline provided by LR2 PHOTO STUDIO. Failure to pay by the deadline may result in cancellation of the reservation, forfeiture of amounts already paid, refusal of studio access, or additional fees. LR2 PHOTO STUDIO is not required to hold studio time for unpaid or partially paid reservations unless an approved payment arrangement has been confirmed in writing.

2.5 Disputes, Chargebacks, and Fee Recovery

Any disputes related to cancellation fees or refund eligibility as outlined in Section 3, unauthorized overtime charges, which may be billed at 1.5 times the original hourly rate, cleaning or repair fees, or any fees not listed must be addressed directly with LR2 PHOTO STUDIO. The Client agrees to cover any reasonable costs incurred by LR2 PHOTO STUDIO in resolving disputes, including but not limited to legal fees, administrative costs, and any fees related to chargebacks.

Outstanding balances, including but not limited to overtime charges, damage fees, cleaning fees, or rule violation penalties, must be paid in full before the Client may make future reservations. LR2 PHOTO STUDIO reserves the right to charge the original payment method on file for unpaid fees that arise from the Client's booking, and will provide an itemized summary of such charges within a reasonable time following the transaction.

By completing a reservation through the booking system, the Client acknowledges that additional charges may be applied after the booking has been created, including but not limited to overtime, damages, cleaning fees, or rule violation penalties as described in these Terms of Service.

The Client acknowledges that LR2 PHOTO STUDIO operates as a professional production facility and that fees associated with overtime, damages, cleaning, or rule violations are operational costs directly resulting from the Client's use of the studio.

3. Cancellations, Rescheduling, and Refunds

3.1 Cancellation Policy

Clients may cancel their booking at any time using the cancellation link provided in the Client confirmation email or through the LR2 PHOTO STUDIO booking platform. Cancellations do not require management approval. Once a booking is cancelled, the reservation may be removed from the calendar and the studio time may be released back into the availability pool.

Refund eligibility is determined at the time of cancellation based on the booking start time, subject to the rescheduling rule in Section 3.3.

For cancellations made more than 48 hours before the booking start time, the Client is eligible for a refund of 50 percent of the rental fee actually paid, plus the amount actually paid for any refundable add ons. For purposes of this refund, the rental fee is the amount the Client actually paid for the room after any discount, promotional code, or applied credit, not the undiscounted rate. This policy reflects non recoverable payment processing costs, administrative expenses, and the operational impact of holding studio time.

For cancellations made 48 hours or less before the booking start time, no refund will be issued. The Client may still cancel the booking, but all payments will be forfeited and the studio time may be released back into the availability pool.

Special order, custom sourced, or perishable add ons are non refundable upon cancellation. These items may be labeled as "Special order, non refundable" in the booking platform, checkout flow, confirmation materials, or add on descriptions.

Discounts, promotional codes, and applied credits reduce the amount the Client actually pays and do not create additional refund value. In no event will any refund exceed the total amount the Client actually paid for the reservation, less any prior refunds.

For rescheduled bookings, refund eligibility is determined in accordance with Section 3.3.

3.2 Rescheduling Policy

Rescheduling more than 48 hours before the booking start time is self service from the customer dashboard and carries no rescheduling fee. A self service reschedule moves the existing reservation to a new time in place: the same room, the same duration, and the same door code carry over to the new time. If the new time is priced higher than the original, the difference is charged automatically to the card on file. If the new time is priced the same or lower, no amount is refunded or returned.

Rescheduling 48 hours or less before the booking start time is not self service. It requires management approval, is subject to availability, and may incur a rescheduling fee. LR2 PHOTO STUDIO reserves the right to deny any rescheduling request that conflicts with operational needs or existing reservations.

Rescheduling changes only the scheduled time. It does not change refund eligibility. As stated in Section 3.3, refund eligibility remains anchored to the earliest original booking start time and is never reset, extended, or reopened by rescheduling.

3.3 Refund Eligibility After Rescheduling

Rescheduling a booking does not reset, extend, or reopen cancellation refund eligibility. For any rescheduled booking, refund eligibility will be determined based on the original booking start time, not the new rescheduled date.

If a booking is rescheduled one or more times, LR2 PHOTO STUDIO will use the earliest original booking start time in the reservation chain to determine whether the booking falls inside or outside the applicable cancellation refund window. A Client may not obtain a refund by rescheduling a booking to a later date and then cancelling based on the new date.

For example, if a Client originally booked a reservation that was 48 hours or less from the original booking start time, that reservation remains ineligible for a cancellation refund even if the Client later reschedules it to a date more than 48 hours away.

Rescheduling is offered as a scheduling accommodation only and does not modify the payment, cancellation, refund, or forfeiture terms that applied to the original reservation unless LR2 PHOTO STUDIO expressly agrees in writing.

3.4 No Shows

Clients who do not arrive for their scheduled booking without completing a cancellation or reschedule in accordance with Sections 3.1, 3.2, or 3.3 will be considered a no show and will forfeit all payments made.

3.5 Refund Limitations, Courtesy Exceptions, and Studio Initiated Changes

Except as expressly stated in Section 3.1, all payments are non refundable. For clarity, cancellation refunds, when applicable, apply only to eligible rental fees and refundable add ons and do not include special order add ons, custom sourced items, perishable items, third party costs, overtime, cleaning, repairs, rule violations, damages, or other non refundable charges.

Notwithstanding the foregoing, LR2 PHOTO STUDIO may, at its sole discretion and as a courtesy, offer credits, partial refunds, or alternative accommodations in situations involving client retention, scheduling flexibility, or other business considerations. Any such exception shall not constitute a waiver of these Terms of Service and shall not create an expectation of similar treatment in future situations.

If LR2 PHOTO STUDIO must close or cannot honor a booking due to unforeseen circumstances as described in Section 6.5, LR2 PHOTO STUDIO will offer a rescheduling option. Refunds in these situations are not guaranteed unless otherwise determined by studio management.

Rescheduled dates must be mutually agreed upon and completed within 90 days of the original booking start time unless otherwise approved by LR2 PHOTO STUDIO in writing. If a mutually agreeable rescheduled date cannot be confirmed within this period, the original booking shall be considered forfeited without refund.

Courtesy accommodations are granted solely as business decisions and shall not be interpreted as a modification of these Terms or as evidence of a prior course of dealing.

4. Studio Use and Rules

4.1 Rental Period

Studio time is reserved as a dedicated production window. The rental period begins and ends at the times specified in the booking confirmation. The Client is responsible for managing all production activities, including load in, setup, shooting, breakdown, and load out, within the reserved time. The Client acknowledges that setup and breakdown must occur during the booked rental period. Additional time needed for setup or breakdown beyond the reserved period will result in overtime charges. Clients are encouraged to carefully consider these needs when selecting their booking time.

4.2 Occupancy Rules

Clients are not permitted to sublet or sell the time they have rented from LR2 PHOTO STUDIO to third parties without prior consent. Only the individual, production entity, or company that booked the studio may use the studio during their rental period.

LR2 PHOTO STUDIO prices reservations in guest count tiers based on the number of people present. The Client selects a guest count tier at booking, and the reservation price reflects that tier. The guest count includes everyone present during the reservation, including the Client, guests, crew, vendors, and other participants. The Client is responsible for selecting the tier that matches the actual number of people who will be present.

If the number of people present exceeds the guest count tier the Client selected, a guest count surcharge will apply. The surcharge is based on the difference between the tier the Client selected and the tier that corresponds to the actual number of people present. Guest count surcharges are assessed after the booking and applied in accordance with Section 2.5.

Materially misrepresenting the guest count, including selecting a lower tier for a production the Client knew or should have known would be larger, is a violation of these Terms of Service. In addition to any applicable surcharge, LR2 PHOTO STUDIO may terminate the reservation without refund consistent with its enforcement rights under these Terms of Service, including Section 1.

Larger productions and commercial shoots may fall outside standard guest tiers. A Client planning a production of that kind should contact LR2 PHOTO STUDIO directly to arrange appropriate pricing and accommodations.

4.3 Minors Policy

Clients must be at least 18 years of age to book LR2 PHOTO STUDIO. Minors may be present or participate during a booking only if accompanied and supervised by a parent, legal guardian, or approved responsible adult at all times. The Client is responsible for ensuring proper supervision of all minors during the booking. The parent, legal guardian, approved responsible adult, and Client assume responsibility for the minor's safety, conduct, and compliance with studio rules while on the premises.

4.4 Approved Extensions, Self Service Extensions, Unauthorized Overtime, and Holdover Use

Studio time must be managed within the Client's reserved rental period. Any additional time must be secured before the scheduled end time, either by the Client through self service or by advance approval from LR2 PHOTO STUDIO, and is subject to availability.

Self service extensions. While a reservation is active, the Client may extend it from the booking platform in 30 minute increments, up to the scheduled end time, charged automatically to the card on file. Time added before the reservation start time is billed at the regular hourly rate. Time added from the start time onward is billed at 1.5 times the hourly rate. Self service extension closes at the scheduled end time.

Approved extensions. Extensions requested from and confirmed by LR2 PHOTO STUDIO before the reservation start time may be billed at the regular hourly rate unless LR2 PHOTO STUDIO states otherwise in writing. Any extension covering time from the start time onward carries the 1.5 times rate described above.

Unauthorized overtime and holdover use. If the Client continues to occupy the studio beyond the scheduled end time without having extended the reservation, the additional time is treated as unauthorized overtime or holdover use. Because self service extension in 30 minute increments is available up to the scheduled end time, a Client who does not extend and instead remains in the studio past the scheduled end time waives the 30 minute increment and will be charged in full 1 hour increments at 1.5 times the hourly rate, beginning at the scheduled end time. For example, if a reservation ends at 6:00 PM and the Client or any member of the Client's party is still occupying the studio at 6:04 PM, a full additional hour at 1.5 times the hourly rate may be charged. This applies with particular force where the overstay delays or disrupts a following reservation.

For purposes of this section, occupancy includes, but is not limited to, shooting, packing equipment, cleaning, resetting furniture or gear, removing personal items, waiting for guests, or otherwise remaining inside the studio beyond the scheduled end time.

By proceeding with a reservation, the Client acknowledges and authorizes overtime billing at the applicable rate and increment described in this section if the studio is occupied beyond the scheduled end time, regardless of whether an extension was requested in advance.

Overtime charges do not limit the Client's responsibility for any additional costs, losses, or disruptions caused to subsequent reservations or studio operations as a result of remaining in the space beyond the scheduled end time. Unauthorized holdover use may create responsibility for additional operational losses, including disruption to subsequent reservations.

4.5 Reservation Management Rights

LR2 PHOTO STUDIO reserves the right to move Clients to a space of equal or larger size with comparable equipment or amenities in the event of scheduling conflicts, operational needs, safety concerns, or other unforeseen circumstances. Such changes will be made in good faith to maintain the quality of the Client's booking experience.

4.6 Permitted Areas

Clients are only permitted to use the areas designated for their booking. Access to other parts of the room or building is strictly prohibited unless express written consent is provided by LR2 PHOTO STUDIO management.

4.7 Room Etiquette

Clients must keep the room door closed throughout the rental period and maintain professional production noise levels out of respect for neighboring tenants and shared building operations.

4.8 Pets

No pets are allowed on the premises without prior written consent from LR2 PHOTO STUDIO. If consent is granted, the Client must ensure the pet is supervised and well behaved throughout the booking. The Client is responsible for any damages or cleaning fees associated with the presence of a pet.

4.9 No Alcohol, Drugs, or Smoking

No alcohol, drug use, or smoking of any kind is permitted within LR2 PHOTO STUDIO. Any violation of this policy may result in a $250 fine for each incident. No one will be admitted to the studio who is under the influence of alcohol or illegal substances.

4.10 No Parties

Absolutely no parties are allowed within the studio. Violation of this policy will result in a $500 fine and immediate termination of the booking without a refund.

4.11 Materials Usage, Including Glitter, Powder, Paint, and Similar Materials

The use of materials such as glitter, powder, paint, or any substances that are difficult to clean must be pre approved by LR2 PHOTO STUDIO. A refundable deposit may be required. Failure to comply will result in additional cleaning fees or penalties.

4.12 No Illegal Activity

Any illegal activity within the studio is strictly prohibited and will result in the immediate involvement of law enforcement, termination of the session, and/or fines.

4.13 Compliance with Safety Regulations

The Client agrees to comply with all safety regulations set forth by OSHA and any safety guidelines provided by LR2 PHOTO STUDIO during the session.

4.14 Sound Recording

The Client understands that LR2 PHOTO STUDIO is not a soundproof facility, and external noise from the street or neighboring spaces may be present during the booking.

4.15 Security and Surveillance

LR2 PHOTO STUDIO is under video surveillance for security, insurance, and dispute resolution purposes. Footage will be used only for these purposes. The studio management may check in periodically to ensure all guests are adhering to studio policies. Tampering with the video cameras is forbidden and will result in a $250 fee and immediate termination of the booking without a refund.

4.16 Prohibited Items

The use of fireworks, pyrotechnics, or any other hazardous materials is strictly forbidden within the studio premises. Smoke or haze machines are allowed only with prior approval over 48 hours in advance.

4.17 Studio Accessibility and Freight Elevator Use

LR2 PHOTO STUDIO is located in a walk up building and does not have a passenger elevator. A freight elevator is available for transporting equipment; however, it is operated exclusively by the building superintendent and is outside the control of LR2 PHOTO STUDIO. The freight elevator is typically operational Monday through Saturday from 8:00 AM to 6:00 PM, subject to building availability.

If the Client requires freight elevator access, arrangements must be requested with LR2 PHOTO STUDIO immediately after the booking is confirmed. While LR2 PHOTO STUDIO will make reasonable efforts to coordinate access when requested in advance, elevator service is not guaranteed and may be unavailable or delayed due to building operations or third party scheduling. LR2 PHOTO STUDIO is not responsible for delays, disruptions, or changes to a booking caused by freight elevator availability or timing.

4.18 Street Parking

Street parking is typically available and easy to find in the area surrounding LR2 PHOTO STUDIO. However, we make no guarantees regarding the availability of parking spaces, as it operates on a first come, first served basis. Clients are encouraged to plan accordingly, as LR2 PHOTO STUDIO is not responsible for any parking related issues.

4.19 Studio Access, Door Codes, and Entry

LR2 PHOTO STUDIO controls access through a smart lock system. Each reservation is issued a unique door code, sent to the Client by email. The code becomes active shortly before the scheduled start time and expires automatically shortly after the scheduled end time.

Extending a reservation extends the active code window. Rescheduling a reservation moves the code window to the new time. Cancelling a reservation revokes the code. The Client is responsible for using the correct, current code for their reservation.

The door code is issued for use by the Client and the Client's authorized guests, crew, and participants for that specific reservation only. The Client may not share, forward, publish, or distribute the code to any person outside their production, and may not use it to enter, or allow entry, outside the authorized code window.

Expiration of the door code does not end the Client's occupancy obligations. A Client who remains in the studio after the code expires is still subject to the overtime and holdover terms in Section 4.4.

Attempting to enter the studio before the code becomes active, remaining after it expires, sharing or distributing the code, or attempting to access the studio without a confirmed reservation is a violation of these Terms of Service. Depending on the circumstances, LR2 PHOTO STUDIO may terminate the reservation without refund consistent with its enforcement rights under these Terms of Service, including Section 1. Where the conduct results in early or additional occupancy of the studio, the Client may be charged for that time under Section 4.4. Access conduct that involves reselling, subletting, or allowing unauthorized parties to use the studio is also subject to Section 4.2.

5. Equipment and Props

5.1 Studio Equipment

LR2 PHOTO STUDIO provides its equipment in good working order; however, the studio makes no special guarantees regarding the functionality or suitability of the equipment for the Client's specific purposes. It is the Client's responsibility to inspect and test the equipment upon arrival. The Client must immediately notify LR2 PHOTO STUDIO of any malfunctions, damage, or other issues with the equipment during the rental period. Failure to do so may result in the Client being held liable for any damages.

5.2 Equipment Provided

Basic lighting, modifiers, and grip are included in your booking unless otherwise specified. Any additional equipment, including backdrop sweeps, cameras, special lighting, or modifiers, will need to be rented for an additional fee.

5.3 Gear Compatibility

It is the Client's responsibility to ensure that their camera and equipment are compatible with the gear provided by LR2 PHOTO STUDIO, as listed in our equipment inventory. LR2 PHOTO STUDIO is not liable for any issues arising from incompatibility between the Client's gear and our studio equipment. We strongly recommend Clients verify compatibility in advance to avoid any disruptions during their session.

5.4 Backdrops

LR2 PHOTO STUDIO provides paper backdrops for standard production use. Paper backdrops may be used freely while suspended, provided they are not stepped on, walked on, stood on, or extended onto the floor. Fabric or specialty backdrops are not included in this backdrop sweep policy unless otherwise specified.

When a paper backdrop is used as floor coverage, including any instance where the paper is unrolled onto the ground, stepped on, walked on, stood on, or otherwise used beneath a person, product, prop, or production setup, a backdrop usage fee will apply.

For purposes of this policy, a "backdrop sweep" or "pull" means up to 5 feet of paper backdrop extended onto the floor, stepped on, walked on, stood on, or otherwise used as floor coverage during the booking.

Each backdrop sweep or pull is billed at $20 per 5 foot increment. Any use beyond the first 5 feet will be billed as an additional sweep or pull, and any partial increment may be rounded up to the next 5 foot increment. LR2 PHOTO STUDIO reserves the right to determine sweep length based on studio observation, production monitoring, and post session inspection.

These charges reflect standard consumable materials used in a professional production environment and help maintain consistent backdrop availability for all clients. Backdrop usage fees may be applied after the booking in accordance with Section 2.5.

5.5 Furniture Movement

Clients are permitted to move furniture within the studio, provided that care is taken during the movement, and all items are returned to their original positions at the end of the booking. Any furniture that is damaged during the booking as a result of being moved will be subject to a replacement or repair fee, to be determined by LR2 PHOTO STUDIO based on the extent of the damage.

5.6 Damage to Equipment

The Client is responsible for the condition of all studio equipment and props during their rental period. Any damage caused will result in repair or replacement fees, as assessed by LR2 PHOTO STUDIO.

5.7 Outside Equipment

Clients are welcome to bring their own equipment. However, LR2 PHOTO STUDIO is not liable for any loss, damage, or malfunction of outside equipment brought to the premises.

6. Liability and Insurance

6.1 Space Care and Responsibility for Damages

Clients are required to monitor the space and report any existing damages or issues prior to or during their booking. The Client acknowledges responsibility for maintaining a safe and professional working environment for all participants during the production. LR2 PHOTO STUDIO assesses the studios after each session, and any unreported damages discovered will be the responsibility of the Client, including any repair or replacement costs.

Additionally, Clients should check for any personal belongings before leaving, as LR2 PHOTO STUDIO is not responsible for items left behind. We cannot guarantee the security of any items left in the studio, as other Clients may occupy the space immediately after your session.

6.2 Studio Damage

Any damage to studio property, including walls, floors, furniture, and similar property, caused during the booking will be the responsibility of the Client. The Client agrees to cover the cost of repair or replacement.

6.3 Client Liability

LR2 PHOTO STUDIO assumes no responsibility for injuries, accidents, or damages caused by the Client, the Client's guests, or their equipment. It is recommended that Clients obtain their own insurance coverage for the duration of the booking.

6.4 Injury or Accident

Clients and their parties use the studio space and equipment at their own risk. LR2 PHOTO STUDIO is not liable for any injury, illness, or accident that may occur on the premises. Renters must immediately report any injuries or accidents that occur during their session to LR2 PHOTO STUDIO within 24 hours of the booking time.

6.5 Force Majeure

LR2 PHOTO STUDIO shall not be held responsible for delays, interruptions, or inability to fulfill a booking due to circumstances beyond its reasonable control, including but not limited to power outages, severe weather, building maintenance issues, natural disasters, acts of God, construction noise, street noise, equipment failure outside of reasonable control, or disruptions caused by other tenants within the building. In such cases, LR2 PHOTO STUDIO will make reasonable efforts to reschedule the booking when possible, but refunds or compensation are not guaranteed unless otherwise determined by studio management.

6.6 Indemnification

The Client agrees to indemnify, defend, and hold harmless LR2 PHOTO STUDIO, its owners, staff, contractors, and representatives from and against any and all claims, liabilities, damages, losses, costs, or expenses, including reasonable legal fees, arising out of or related to the Client's use of the studio, the actions of the Client's guests or participants, violation of these Terms of Service, or any negligent or unlawful conduct occurring during the booking.

7. Cleanliness and Studio Condition

7.1 Cleaning Fee

The studio must be left in the same condition as it was at the start of the rental with all gear and furniture put back in its original place. Failure to do so may result in a cleaning fee of $250. Excessive cleaning or damage may incur additional fees.

7.2 Waste Disposal

Clients are responsible for disposing of their own trash and ensuring that all used equipment is returned to its designated place.

8. Consent to Communications

8.1 Studio Documentation and Marketing Usage

LR2 PHOTO STUDIO may photograph or record the studio space, room condition, equipment setup, behind the scenes environment, or general studio activity for operational, security, documentation, dispute resolution, or marketing purposes.

LR2 PHOTO STUDIO will make reasonable efforts not to publish identifiable Client work, unreleased products, private production materials, models, minors, or sensitive production content without permission. Clients who require confidentiality for a production must notify LR2 PHOTO STUDIO in writing before the booking begins.

Nothing in this section limits LR2 PHOTO STUDIO's right to document the space for operational, safety, insurance, damage, cleaning, rule enforcement, or dispute resolution purposes.

8.2 Outreach

By booking with LR2 PHOTO STUDIO, the Client consents to receive occasional updates from LR2 PHOTO STUDIO regarding future events, workshops, and promotional deals. The Client may unsubscribe from these communications at any time by following the unsubscribe instructions included in each message or by contacting us directly.

9. Privacy and Data Usage

9.1 Client Data

LR2 PHOTO STUDIO collects personal information, such as names, contact details, booking details, payment information, and communications, for purposes related to managing reservations, processing payments, operating the studio, communicating with Clients, maintaining records, protecting studio operations, resolving disputes, and complying with applicable legal obligations.

LR2 PHOTO STUDIO does not sell Client personal information. Client information may be shared with service providers or platforms used to operate the business, including but not limited to booking systems, payment processors, email or messaging tools, automation tools, security tools, legal or accounting professionals, and other vendors reasonably necessary to support studio operations.

LR2 PHOTO STUDIO will make reasonable efforts to handle Client information responsibly and only use or share it as needed for legitimate business, operational, legal, safety, or dispute resolution purposes.

10. Miscellaneous

10.1 Severability

If any provision of these Terms of Service is determined to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, that provision shall be enforced to the maximum extent permitted by law, and the remaining provisions of these Terms of Service shall remain in full force and effect. The parties agree that any such invalid or unenforceable provision shall be interpreted in a manner that most closely reflects the original intent of LR2 PHOTO STUDIO while maintaining enforceability.

10.2 Governing Law and Venue

These Terms of Service shall be governed by and interpreted in accordance with the laws of the State of New York, without regard to conflict of law principles. Any arbitration or permitted legal proceeding arising from these Terms shall occur within the State of New York, unless otherwise agreed to in writing by LR2 PHOTO STUDIO. Dispute resolution procedures are further described in Section 11 of these Terms of Service.

10.3 Entire Agreement

These Terms of Service constitute the entire agreement between the Client and LR2 PHOTO STUDIO regarding the use of the studio and supersede all prior or contemporaneous discussions, communications, or agreements, whether written or oral, relating to the subject matter herein.

11. Dispute Resolution and Arbitration

The Client and LR2 PHOTO STUDIO agree to first attempt to resolve any dispute, claim, or controversy arising out of or relating to the booking, services, or use of the studio through informal good faith negotiation. If a resolution cannot be reached, the dispute shall be resolved through binding arbitration administered by the American Arbitration Association in accordance with its applicable rules. The arbitration shall take place in the State of New York and shall be governed by the laws of the State of New York, consistent with Section 10.2 of these Terms of Service.

By accepting these Terms through the booking process, the Client knowingly and voluntarily waives the right to bring claims in court or to participate in a jury trial, except where necessary to enforce an arbitration award or where prohibited by applicable law. LR2 PHOTO STUDIO reserves the right to pursue claims in small claims court or other permitted legal venues for the recovery of unpaid fees, enforcement of financial obligations, or damages to studio property arising from these Terms of Service.

The prevailing party in any arbitration or permitted legal proceeding may seek recovery of reasonable administrative costs and fees to the extent allowed by law.

12. Client Clickwrap Acceptance and Electronic Agreement

12.1 Binding Acceptance

By checking the box on the booking page confirming that you have read, understand, and agree to these Terms of Service, or by otherwise proceeding with a reservation through the LR2 PHOTO STUDIO booking system, you confirm that you have read, understood, and agree to be bound by these Terms of Service in their entirety. You acknowledge that this action constitutes your electronic signature and forms a legally binding agreement between you and LR2 PHOTO STUDIO under the U.S. Electronic Signatures in Global and National Commerce Act, E SIGN Act, 15 U.S.C. §7001 et seq., and New York State Technology Law §307. You confirm that you are at least 18 years of age and have the legal authority to enter into this agreement, including the authority to bind any company, entity, or organization on whose behalf you are booking.

12.2 Notice of Terms

The full Terms of Service are accessible via a clearly labeled hyperlink to https://book.lr2.studio/terms, displayed at the agreement checkbox during the booking process. You acknowledge that you were provided a reasonable opportunity to review these Terms before providing acceptance.

12.3 Electronic Consent and Records

Your acceptance through the booking platform constitutes consent to conduct transactions electronically. LR2 PHOTO STUDIO retains an electronic record of each acceptance for operational, legal, and dispute resolution purposes. This record includes the specific version of the Terms of Service the Client accepted, the exact acceptance language displayed to the Client at the time of acceptance, the date and time of acceptance, and the IP address associated with the acceptance, and may also include related device information.

Each published version of these Terms of Service is identified by a version date, is permanently archived at its own web address, and is not altered after publication. This allows LR2 PHOTO STUDIO to reproduce the exact terms and acceptance language a Client agreed to for any reservation.

12.4 Modifications to Terms

LR2 PHOTO STUDIO reserves the right to update or modify these Terms of Service at any time. When material changes are made, notice may be provided through email, the booking platform, or other reasonable communication methods. Continued use of the booking system after updates constitutes acceptance of the revised Terms. For significant changes, LR2 PHOTO STUDIO may require Clients to re accept the Terms before completing future bookings.
